Confidentiality Agreement

1. Any information provided by NSW Commercial Business Brokers (The Agent) is on a confidential basis and I/we agree not to disclose it to any other parties.
2. I/We agree not to speak to the owners or the staff of the business unless the Agent makes an appointment and I/we will negotiate the terms of purchase only through the Agent.
3. I/We agree that NSW Commercial Business Brokers has introduced me/us to the above-mentioned businesses and I/we agree that we will not affect in any way the payment of commission to the Agent. I/We agree that any further businesses requested are subject to these conditions.
4. In the event I/we buy a business which the Agent has introduced I/we undertake to make all deposit funds payable to the Solicitors Trust Account nominated by NSW Commercial Business Brokers. Should I/we request the Agent to provide or research details of any other business for sale which an agency agreement has not yet been signed then I/we will ensure that the purchase price includes the Agent’s commission at a figure agreed between the Agent and the Vendor otherwise I/we will not proceed with the purchase.
